Execution of the Assignment

Assignment Scope: Human Entrance is responsible for carrying out the work specified in the Assignment Agreement, offer, or order confirmation (referred to as "the Assignment"). Any changes to the Assignment's scope require a separate agreement between the parties. The Customer may also include individuals associated with them, as relevant to the Assignment.

Assignment Execution: Human Entrance is responsible for managing, planning, and implementing the Assignment with care and professionalism. The parties will collaborate during the Assignment's execution.

External Consultants: Human Entrance may use external consultants or its own staff to perform parts of the Assignment as deemed necessary. Human Entrance may bill for work performed by external consultants as if it were done by Human Entrance itself. Human Entrance is responsible for selecting the individuals or firms to perform the agreed services in the Assignment.

Compensation/Remuneration

Assignment Remuneration: The remuneration for the Assignment is detailed in the Assignment Agreement. If there are changes to the Assignment, Human Entrance is entitled to adjust the remuneration unless otherwise agreed. Additional work not due to Human Entrance's error or negligence will be charged based on the company's price list at the time of execution.

Additional Services: If the Customer orders additional services directly from a Consultant and the cost is charged to Human Entrance, Human Entrance may request further compensation from the Customer, including commercial surcharges.

Payment

Payment Schedule: The remuneration is to be paid according to the payment plan specified in the Assignment Agreement. If no such agreement exists, the full remuneration is due at the start of the Assignment.

Payment Terms: Payment must be made within 30 days of the invoice date, with VAT and other applicable taxes and surcharges added.

Delayed Payment

Penalty Interest: If the Customer fails to make timely payments, Human Entrance is entitled to charge penalty interest as per the Interest Act. Human Entrance may also suspend work until all outstanding payments are made and satisfactory security for future payments is provided.

Termination: If the Customer delays payment by more than 30 days after being notified to pay, Human Entrance may, through written communication, terminate the Agreement and the Assignment.

Customer Responsibility

Active Participation: The Customer must actively work to facilitate the proper implementation of the Assignment within the specified timeframe. Human Entrance is responsible for damage to the Customer's property caused by negligence or by its staff, with limitations on the amount of damages as specified below. Human Entrance is not responsible for the loss of the Customer's data.

Liability Limitation: Unless there is specific intent or gross negligence, the indemnity liability of either party is limited to direct losses, not exceeding the Remuneration for the specific Assignment in question. This limitation also applies to breaches of contract and damage caused by a Consultant.

Responsibility Regarding Relocation Management

Vendor Independence: Human Entrance is not liable for third-party actions. The Vendor operates as an independent contractor, and Human Entrance has no control over the Vendor or its employees or agents, except in terms of results.

Housing Procurement

Housing Inspection: Human Entrance is not responsible for inspecting or maintaining housing. If Human Entrance assists in the inspection or checking of a dwelling, its responsibility is limited to documented agreements signed by both the Landlord and the Customer.

Fees for Home Search: The minimal fee for home search includes various services and costs. If the Customer fails to pay rent or other financial obligations, Human Entrance may reclaim the paid sums or any damages resulting from the Customer's use of the dwelling.

Authority Decisions

Authority Permissions: Human Entrance is not responsible for authority decisions or permissions, even if it is part of the Agreement to assist in obtaining specific permits, school placements, work permits, etc.

Premature Termination

Termination Conditions: The Customer can terminate an Assignment, without providing a reason, as long as work remains incomplete. In such cases, Human Entrance is entitled to compensation for work already done, verified costs, and Consultant expenses, as well as any losses due to the termination of the Assignment.

Termination Fees: If an Assignment is terminated with less than 14 days' notice, Human Entrance may charge 50 percent of the ordered services fee. For terminations less than two days before the scheduled execution, the full fee is applicable.

Insolvency

Insolvency Clause: Each party can cancel the agreement if the other party is declared bankrupt, enters composition proceedings, goes into liquidation, or is assumed insolvent.

Grounds for Exemption

Exemption Conditions: Human Entrance is exempt from sanctions due to default in certain obligations under the Agreement in cases of circumstances beyond its control, such as measures by an authority, changes in legislation, illness, labor disputes, natural disasters, data loss, or major accidents.

Complaints and Statutory Limitation

Complaints: The Customer must submit written complaints about breach of contract within 14 days of discovery. The right to claim a sanction expires one month after completing or discontinuing the Assignment.

Movenet APro

Access to Movenet APro: The Client and their employees may access Movenet APro, the Human Entrance service platform, to report on services and access statistics. Access is limited to the Agreement's duration and the period when Human Entrance is providing services. The Client cannot grant access to third parties. Additional terms and conditions specified by Human Entrance apply. Human Entrance is not responsible for data filed by third parties.
